1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the InboxPilot website, browser extensions, applications, and services (collectively, the “Service”) provided by InboxPilot Inc. (“InboxPilot,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

InboxPilot provides email productivity tools including email open tracking, link click tracking, mail merge, document tracking, electronic signatures, and AI-powered email intelligence. The Service integrates with Google Workspace (Gmail) and Microsoft 365 (Outlook) through browser extensions and OAuth-based connections.

3. Account Registration

To use the Service, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at security@inboxpilot.co if you suspect unauthorized access.

You must be at least 16 years of age to use the Service. By creating an account, you represent that you meet this age requirement.

4. Acceptable Use

You agree not to use the Service to:

  • Send unsolicited bulk email (spam) or violate CAN-SPAM, GDPR, or other applicable email regulations
  • Harass, abuse, or harm others
  • Impersonate any person or entity
  • Transmit malware, viruses, or any other harmful code
  • Attempt to gain unauthorized access to other users' accounts or our systems
  • Use the Service for any illegal purpose
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Scrape or harvest data from the Service without authorization
  • Exceed reasonable usage limits or abuse the Service in a way that degrades performance for other users

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

5. Email Tracking Compliance

You are solely responsible for ensuring that your use of email tracking features complies with all applicable laws and regulations in your jurisdiction and the jurisdictions of your email recipients. This includes but is not limited to the General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), the CAN-SPAM Act, and the Canadian Anti-Spam Legislation (CASL).

InboxPilot provides tracking tools; it is your responsibility to use them ethically and lawfully. We recommend disclosing the use of email tracking in your email signature or privacy policy where required by law.

6. Subscription Plans and Billing

InboxPilot offers Free, Pro, Advanced, and Enterprise plans. Paid plans are billed monthly or annually as selected at the time of purchase. Prices are in US dollars and exclude applicable taxes.

  • Free trial: Paid plans include a 14-day free trial. You will not be charged until the trial period ends.
  • Auto-renewal: Subscriptions automatically renew at the end of each billing period unless canceled before the renewal date.
  • Cancellation: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. No prorated refunds are provided for partial periods.
  • Refunds: We offer a 30-day money-back guarantee for new paid subscriptions. Contact support@inboxpilot.co within 30 days of your first payment.
  • Price changes: We reserve the right to change pricing with 30 days' notice. Price changes do not apply to the current billing period.

7. Electronic Signatures

The e-signature functionality provided through the Service is intended to facilitate the execution of electronic agreements. By using this feature, you agree that electronic signatures created through InboxPilot are legally binding and enforceable under the Electronic Signatures in Global and National Commerce (ESIGN) Act and the Uniform Electronic Transactions Act (UETA), as well as comparable laws in other jurisdictions (such as eIDAS in the European Union).

InboxPilot maintains audit trails for all signature transactions but does not provide legal advice. Consult a legal professional if you have questions about the enforceability of electronic signatures in your jurisdiction.

8. Intellectual Property

The Service, including its code, design, logos, and documentation, is the intellectual property of InboxPilot Inc. and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service without our prior written consent.

You retain ownership of all content you create, upload, or transmit through the Service. By using the Service, you grant InboxPilot a limited, non-exclusive license to process your content solely to provide the Service.

9. API Usage

API access is available on the Advanced and Enterprise plans. Use of the API is subject to rate limits published in our API documentation. You may not use the API in a manner that exceeds reasonable request volume, overburdens the Service, or competes with InboxPilot. We reserve the right to throttle or revoke API access for violations.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT TRACKING DATA WILL BE 100% ACCURATE.

Email tracking relies on pixel loading and may not register opens in all email clients (such as those that block images by default). We provide tracking on a best-effort basis.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INBOXPILOT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless InboxPilot and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Dispute Resolution

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in San Francisco, California. Each party shall bear its own costs, except that the prevailing party may recover reasonable attorney's fees.

You agree to resolve disputes individually and waive any right to participate in a class action lawsuit or class-wide arbitration.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and, for significant changes, by email notification. Your continued use of the Service after changes constitutes acceptance.

16. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our discretion, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections related to intellectual property, limitation of liability, indemnification, and dispute resolution survive termination.
